Start a Swedish limited company — step by step

What you need

At least SEK 25,000 in share capital. A board with at least one ordinary member and one deputy (when the board has one or two members). A company name — ideally with two alternatives, since Bolagsverket examines the name. A business description stating what the company will do.

All founders and board members need to identify themselves — in practice with Swedish BankID for digital signing. Foreign founders without BankID can still form a company; extra identification steps apply.

The documents

Two documents are required for registration: the deed of formation (stiftelseurkund), which records that the company is founded and who subscribes for the shares, and the articles of association (bolagsordning) — the company's rulebook: name, registered office, business, capital limits and fiscal year.

You should also keep a share register (aktiebok) from day one. It is a legal requirement and records who owns the shares.

Capital and the bank certificate

The share capital is deposited into a dedicated account. The bank issues a certificate (bankintyg) confirming the deposit; it is required for registration when the capital is paid in cash.

Expect this step to depend on the bank's processing time — often the slowest part of the whole process, particularly for founders new to Sweden.

Registration and tax

The filing goes to Bolagsverket, which examines the name and registers the company. On registration the company receives its organisation number.

The company is then registered with Skatteverket: F-tax to invoice customers, VAT if the business is VAT-liable, and employer registration if the company will pay salaries.
